Reseller Program Terms

These terms govern taking part in the Spaqitech Creator & Reseller Program. They're written in plain language on purpose — you should be able to read them in a few minutes and know exactly where you stand. Applying to the program means you accept them.

1 Eligibility and approval

The program is open to people who create content or run a community — video, streaming, writing, podcasting, newsletters, forums — where our software is genuinely relevant to your audience.

You must be at least 18, and able to enter an agreement in your country. You may apply as an individual or a company.

We review every application and accept partners at our discretion. We may decline without giving a reason. Applying does not entitle you to a code, and we may ask questions before deciding.

Applying creates a Spaqitech customer account for you if you don't already have one. That account is yours whatever we decide about your application — you can shop with it either way.

2 Your promo code

If you're accepted we'll issue you a promo code. Your code gives your audience a percentage off their order and is how we attribute sales to you.

  • The code, the discount and the commission rate are agreed with you when it's set up, and shown in your dashboard.
  • A code may be limited to a date range or a number of uses. If yours is, we'll tell you, and the dashboard shows the current status.
  • You may hold more than one code — some partners use one per platform or campaign. Just ask.
  • Codes remain the property of Spaqi Consulting L.L.C. They're licensed to you for use in your own content while you're in the program, and not transferable.

3 How commission is calculated

Commission is a percentage of the order value after your audience's discount and before tax. VAT and equivalent taxes are collected on behalf of a tax authority and are not revenue, so commission is never paid on them.

Worked example. A $100 order with a 10% audience discount and a 20% commission rate: your viewer pays $90, and you earn $18.

  • Only completed orders count. An abandoned checkout earns nothing.
  • Cancelled, refunded and charged-back orders do not count. If commission has already been credited for such an order, we may reverse it or offset it against your next payout.
  • Your rate is fixed at the moment each order is placed. If we change your rate later, it applies to future orders only — nothing you've already earned changes.

Your dashboard shows earned, paid and outstanding amounts at all times, and you can export the underlying orders to CSV or a printable statement.

4 Payouts and tax

Payouts are arranged with us directly — get in touch when you'd like to be paid. Every payment we make is recorded against your account and visible in your dashboard, so your balance is something you can check rather than take on trust.

  • We pay to the details you give us. You're responsible for making sure they're correct — we can't recover a payment sent to details you supplied incorrectly.
  • We may hold a payout while we look into unusual activity, or where an order is disputed or at risk of chargeback.
  • Tax is yours. You're responsible for declaring and paying any tax due on what you earn, in your own country. We don't withhold tax and we're not able to give tax advice.
  • If you're registered for VAT or equivalent, tell us — it may change how we invoice.

5 What is not allowed

Most of this comes down to one idea: your code is for the people who follow your work.

  • No self-referral. Purchases you make yourself, or arrange for someone else in order to earn commission, aren't eligible.
  • No coupon or deal-aggregator sites. Please don't submit your code to voucher directories, cashback services, browser extensions or scraper sites. Those reach people who were going to buy anyway, and it isn't what the program is for.
  • No bidding on our brand. Please don't run paid search or ads on "Spaqitech", our product names, or close variants. Talk about our software however you like in your own content — that's the point of the program.
  • Don't present yourself as Spaqitech. You're an independent partner. Don't imply you're an employee, agent or official representative, and don't register domains, handles or accounts that suggest you are.
  • No spam. Don't share your code through unsolicited email, mass DMs, or automated posting.
  • Be accurate. Don't claim features our software doesn't have, promise outcomes it can't deliver, or misstate the price or discount.
  • Disclose the relationship where the law where you live requires it — many countries require creators to disclose commercial arrangements. That's your responsibility.

Where we find commission was earned through any of the above, we may withhold or reverse it, and end the partnership.

6 Identity verification

As part of reviewing an application, or at any point afterwards, we may ask you to confirm your identity or that you control the channel you've told us about. That might be a government-issued ID, a business registration document, or something simple like a post from the account itself.

We ask only where it's needed — typically to verify a new account, confirm channel ownership, or release a payout. Anything you send is handled in line with our Privacy Policy and deleted once the check is complete.

If we're unable to verify an account, we may decline the application, pause the code, or hold a payout until we can.

7 Changes, suspension and ending

We may change these terms, adjust commission rates, or change the discount a code carries. Where a change affects you materially we'll tell you by email. Continuing in the program after that means you accept the change.

We may pause or retire a code, or suspend an account, if we believe it's being misused or where we need to investigate. Either of us can end the arrangement at any time, for any reason.

If we end it, we'll pay out whatever balance you've genuinely earned under these terms. If you end it, tell us and we'll deactivate your code — your sales history stays visible in your dashboard.

8 Your data and your audience's

We hold the details you gave us when you applied, plus the orders attributed to your code, so we can run the program and pay you. That's covered by our Privacy Policy.

You never see who bought. Your dashboard shows what sold and for how much — date, product, units, discount, order total and your commission. No customer name, email, address or any other personal detail is shown to partners, ever. That isn't a setting; it's how the system is built.

9 General

You take part as an independent contractor. Nothing here creates employment, partnership, agency or a joint venture, and neither of us can bind the other.

We provide the program as it is. We don't guarantee any level of sales, traffic or earnings, or that the dashboard or site will be available without interruption. Nothing in these terms limits liability where the law doesn't allow it to be limited.

These terms sit alongside our Terms of Service and Privacy Policy. Where they conflict on a program matter, these terms apply. They're governed by the laws applicable to Spaqi Consulting L.L.C.
